Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PostingPanel platform, including our website, applications, APIs, and any associated services (collectively, the "Service"). The Service is provided by PostingPanel ("we," "us," or "our").

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date above and notify you via email or in-app notification. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

Eligibility

To use PostingPanel, you must:

• Be at least 16 years of age (or the minimum age required in your jurisdiction).
• Have the legal capacity to enter into a binding agreement.
• Not be prohibited from using the Service under any applicable laws.
• If using on behalf of an organization, have authority to bind that entity to these Terms.

Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.

Subscription & Billing

PostingPanel offers both free and paid subscription plans. For paid plans:

• Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) based on the plan you select.
• Payment: You authorize us to charge your designated payment method for all fees incurred. All fees are non-refundable except as expressly stated in these Terms or required by law.
• Price Changes: We may change pricing at any time. We will notify you at least 30 days before any price increase takes effect. Continued use after the price change constitutes acceptance.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.
• Downgrades: If you downgrade from a paid plan to a free plan, you may lose access to certain features and data associated with your paid plan.

Free Trial

PostingPanel offers a one-month (30-day) free trial for new users. During the free trial:

• You will have full access to all features available in the paid plan.
• No credit card is required to start your free trial.
• At the end of the trial period, your account will automatically transition to our free plan unless you choose to subscribe to a paid plan.
• We may modify the availability, duration, or terms of the free trial at any time without prior notice.
• Free trial is limited to one per user/organization. Attempts to create multiple accounts to exploit the trial may result in account termination.

User Content

You retain ownership of all content you submit, post, or display through PostingPanel ("User Content"). By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, and distribute your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content.
• Your User Content does not infringe on the intellectual property rights of any third party.
• Your User Content complies with all applicable laws and our Acceptable Use Policy.

We do not claim ownership of your User Content. When you delete your content, we will remove it from our active systems within a reasonable timeframe, though cached or archived copies may persist temporarily.

Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by PostingPanel and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used in connection with any product or service without prior written consent.

AI-Generated Content

PostingPanel provides AI-powered tools to help generate social media content. Regarding AI-generated content:

• You are responsible for reviewing and approving any AI-generated content before publishing.
• PostingPanel does not guarantee that AI-generated content is factually accurate, free from errors, or suitable for any particular purpose.
• You retain full responsibility for all content posted through your connected social media accounts, whether manually created or AI-assisted.
• AI-generated content is provided "as is" without warranty of originality. Similar content may be generated for other users.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms of Service.
• Violation of our Acceptable Use Policy.
• Fraudulent, abusive, or illegal activity.
• Extended periods of inactivity (accounts inactive for more than 12 months).

Upon termination, your right to use the Service will immediately cease. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

Limitation of Liability

To the maximum extent permitted by law, PostingPanel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or business opportunities.
• Service interruptions or downtime.
• Unauthorized access to or alteration of your data.
• Errors, inaccuracies, or omissions in AI-generated content.
• Actions taken by third-party social media platforms (e.g., API changes, account suspensions).

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Acceptable Use Policy

This Acceptable Use Policy outlines the rules and guidelines for using the PostingPanel platform. By using the Service, you agree not to engage in any of the prohibited activities listed below.

Prohibited Activities

You may not use PostingPanel to:

• Violate any applicable local, national, or international law or regulation.
• Infringe upon or violate the intellectual property rights or privacy rights of any third party.
• Transmit any material that is defamatory, obscene, threatening, harassing, or hateful.
• Distribute spam, unsolicited commercial messages, or chain letters.
• Distribute malware, viruses, or any other harmful or destructive code.
• Attempt to gain unauthorized access to other users' accounts, our systems, or third-party services.
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Service, except through our official API.
• Circumvent, disable, or interfere with the security-related features of the Service.
• Create fake or misleading social media content with the intent to deceive.
• Use our AI content generation tools to produce content that is illegal, harmful, or violates the policies of connected social media platforms.
• Resell, sublicense, or redistribute the Service without written permission.
• Engage in any activity that could disrupt, burden, or impair the proper functioning of the Service.

Enforcement

We reserve the right to investigate and take appropriate action in response to violations of this policy, including:

• Issuing warnings to your account.
• Temporarily suspending your account.
• Permanently terminating your account.
• Reporting violations to law enforcement authorities.
• Taking legal action against you.

DMCA / Copyright Policy

PostingPanel respects the intellectual property rights of others and expects its users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to notices of alleged copyright infringement.

Filing a DMCA Notice

If you believe that content hosted on or published through PostingPanel infringes your copyright, please submit a written notice to our designated copyright agent containing the following:

1. A physical or electronic signature of the copyright owner (or a person authorized to act on their behalf).
2. Identification of the copyrighted work claimed to have been infringed.
3. Identification of the material that is claimed to be infringing, with sufficient information for us to locate it.
4. Your contact information (name, address, telephone number, and email address).
5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Counter-Notification

If you believe that your content was removed in error, you may submit a counter-notification with the required information. We will process valid counter-notifications in accordance with the DMCA.
